Terms of Service

Jimoto LLC (“we,” “us,” “our”) provides AI automation and workflow integration services under the following Terms of Service (“Terms”). These govern all engagements with our clients.

1. Services We Offer

  • Missed call text-back service

  • Instagram DM auto-reply

  • Booking calendar automation

  • SMS & Email appointment reminders

  • Lead Follow-up systems

  • Monthly reporting and analytics

  • Optional additional services (e.g., review management, local PPC) as agreed in writing

Scope, deliverables, fees, timelines, and milestones will be defined in a separate Service Agreement or Proposal.

2. Client Obligations

  • Data Access: You agree to provide accurate business information, including web access, login credentials, and other data needed for service delivery.

  • Communication: You commit to giving timely feedback, approvals, and access to platforms as requested.

  • Compliance: Maintaining compliance with applicable laws and platform rules (e.g., Google guidelines, TCPA for SMS) remains your responsibility. You represent that you have obtained all necessary "opt-in" consents from your leads/customers before utilizing automation systems.

3. Fees, Billing, and Payment

Fees will be outlined in your Proposal or Agreement and may be billed as recurring monthly fees, fixed project fees, or hourly rates.

  • Onboarding Fees: A one-time setup and onboarding fee (typically $499, unless otherwise specified in your Proposal) is due upon commencement of the project to cover CRM integration and workflow architecture.

  • Recurring Fees: Monthly subscription fees are billed in advance.

  • Payment Terms: Payment is due within 15 days of the invoice date.

  • Late Fees: Late payments may incur a 1.5% monthly interest charge.

  • Taxes: You are responsible for any applicable taxes unless exempt.

4. Refund Policy & Satisfaction Guarantee

  • 14-Day Guarantee: We offer a 14-day satisfaction guarantee starting from the date of your first system launch. If the systems are not functioning as described in your Service Agreement, Jimoto LLC will work to rectify the issue.

  • Refund Eligibility: If the issue cannot be rectified, a pro-rated refund of the current month’s service fee may be issued. Please note that one-time onboarding and setup fees are non-refundable once the integration work has commenced.

5. Term and Termination

  • Duration: These Terms begin on the effective date and continue for the agreed term (e.g., 6 or 12 months), renewing automatically unless canceled in writing.

  • Termination: Either party may terminate without cause with 30 days’ notice, or immediately if the other party materially breaches obligations and fails to cure within 10 days.

  • Final Payment: Upon termination, you pay for all services rendered up to the termination date.

6. Performance & Results

  • Purpose: Our deliverables are designed to automate missed call text-backs and lead follow-ups so you never miss a lead.

  • No Guarantee of Sale: While our systems facilitate engagement, we do not guarantee that leads will result in paid jobs or clients.

  • Standards: We commit to performing services with reasonable skill in accordance with industry standards.

7. Proprietary Rights & Use

  • License to You: We grant you a non-exclusive, revocable license to use materials provided solely for your business operations.

  • Ownership: We retain all ownership of our proprietary tools, methodologies, templates, and pre‑existing intellectual property.

  • License to Us: You grant us a limited license to access your content, phone numbers, and social media accounts strictly to perform the requested automation services.

8. Confidentiality

  • Both parties agree to keep non-public information confidential during the engagement.

  • These obligations last for the term of the agreement plus two years post‑termination.

9. Disclaimers & Limitation of Liability

  • "As Is" Basis: Services are provided “as is”; we disclaim all implied warranties unless prohibited by law.

  • Third-Party Platforms: We are not responsible for service interruptions or account suspensions caused by third-party platform policy changes (e.g., Meta, Google, Twilio) or API updates.

  • Liability Cap: Except for willful misconduct, our maximum liability will not exceed the total fees paid by you in the prior six months.

  • Consequential Damages: We are not liable for indirect or incidental damages, such as loss of revenue.

10. Indemnification

  • You agree to indemnify and hold us harmless from third-party claims arising from content you supply, violations of law/platform policies, or misuse of deliverables.

11. Independent Contractor Relationship

We operate as an independent contractor. Nothing in these Terms creates an employer-employee relationship, joint venture, or agency.

12. Governing Law & Dispute Resolution

  • Jurisdiction: These Terms are governed by the laws of Wyoming.

  • Resolution: Disputes will be resolved via good-faith negotiation. If unresolved, they shall be submitted to binding arbitration in Casper, Wyoming, under AAA rules.

13. Changes to Terms

  • We may update these Terms occasionally. Changes will be effective upon posting and apply to future service periods.

  • Significant changes will be communicated in advance to existing clients.

14. Notices

  • All notices must be in writing.

  • To Us: Via email or postal address in your Service Agreement.

  • To You: Via the email address provided or on your invoice.
